The franchise contract has become one of the most popular forms of business expansion worldwide, allowing independent entrepreneurs to partner with established brands in the market. However, this contractual relationship often shows an asymmetry that can generate vulnerabilities, especially for the franchisee, who is often in a disadvantageous position in relation to the franchisor. This work aims to take a comprehensive legal approach to the franchise contract, examining its evolution from the United States to the present day, with an emphasis on practices in Portugal and drawing parallels with the Brazilian context. The main objective of this dissertation is to identify and analyse the legal and practical consequences of contractual asymmetry in relations between franchisees and franchisors. Through a review of the literature and relevant legislation, we seek to understand how this asymmetry manifests itself and what its implications are in the execution of franchise contracts. The research will be based on a qualitative methodology, which will include analysing relevant case law in Portugal, as well as case studies of emblematic companies, such as O Boticário and McDonald's, which will serve to illustrate the dynamics of the contractual relationship. The dissertation will be structured in three parts with chapters that will initially address the fundamental concepts related to the franchise contract and contractual asymmetry. Next, the obligations and rights of both parties will be discussed, bringing to light the particularities of the legal system in Portugal and in comparison with Brazil. The inclusion of case studies will allow for a practical analysis that will complement the theoretical foundation, which will form part three of this study. In the end, based on the conclusions, it is hoped that this work will contribute to a more in-depth understanding of the inequalities inherent in the franchise contract, emphasising the importance of a balance in contractual relations. With this, we aim to provide insights that can positively impact both legal practice and franchise management, promoting a fairer and more equitable environment for both sides. The research is not limited to an academic analysis, but also seeks to offer recommendations that may be useful for improving contractual conditions in the franchising sector. |
